Welcome to Thrive Mastermind. These Terms of Service ("Terms") govern your access to and use of our platform, services, and applications, including our Jett Coach SMS coaching service (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete.

4. SMS Text Messaging Service (Jett Coach)

4.1 Service Description

Jett Coach is our SMS-based coaching service that provides personalized business insights, performance metrics, and training recommendations via text message. By providing your mobile phone number and opting in to SMS notifications, you agree to receive text messages from Thrive Mastermind.

4.2 Consent to Receive SMS Messages

By checking the SMS consent box during registration or in your account settings, you expressly consent to receive recurring marketing text messages, promotional offers, account updates, coaching insights, and other messages from Thrive Mastermind at the mobile phone number you provided. This consent is not a condition of purchase or use of our Services.

4.3 Message Types and Frequency

You may receive the following types of SMS messages:

  • Weekly and mid-week business performance check-ins
  • Personalized coaching recommendations and action items
  • Training module suggestions
  • Account notifications and security alerts
  • Promotional offers and special announcements
  • Customer support and service messages

Message frequency varies based on your business activity and notification preferences. You can expect approximately 2-8 messages per month, though frequency may increase during special promotions or events.

4.4 Message and Data Rates

Standard message and data rates may apply depending on your mobile carrier's plan. You are responsible for all charges associated with text messaging imposed by your mobile carrier. We do not charge for SMS messages, but your carrier's rates will apply. Contact your mobile carrier for details.

4.5 Supported Carriers

Our SMS service is available for mobile numbers on major U.S. carriers including AT&T, T-Mobile, Verizon, Sprint, and most other carriers. If you change carriers or phone numbers, you must update your account information to continue receiving messages.

4.6 Opting Out and Unsubscribing

You can opt out of SMS messages at any time, free of charge, by:

  • Texting STOP, END, CANCEL, UNSUBSCRIBE, or QUIT in response to any message from us
  • Clicking any unsubscribe link provided in SMS messages
  • Updating your SMS notification preferences in your account settings
  • Contacting customer support at [email protected]

After you opt out, you will receive one final confirmation message. You may continue to receive non-marketing service messages related to your account (such as security alerts or account status updates) unless you close your account entirely.

4.8 SMS Service Availability

We make reasonable efforts to ensure SMS service availability, but we do not guarantee uninterrupted service. SMS delivery may be delayed or unavailable due to carrier issues, network congestion, device compatibility, or other factors outside our control. We are not responsible for failed, delayed, or misdirected messages.

5. Use of Services

5.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

5.2 Prohibited Uses

You agree not to:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers/networks connected to the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Use automated systems (bots, scrapers, etc.) to access the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Remove or modify any proprietary notices or labels
  • Use the Services to transmit spam, chain letters, or other unsolicited communications
  • Upload or transmit viruses, malware, or other malicious code

6. Third-Party Integrations

Our Services may integrate with third-party platforms such as Spark Membership Management. Your use of such integrations is subject to the third party's terms of service and privacy policy. We are not responsible for the actions, content, or policies of third-party services.

You authorize us to access and retrieve data from your third-party accounts as necessary to provide the Services.

7. Intellectual Property

The Services, including all content, features, functionality, software, and design, are owned by Thrive Mastermind or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code, unless expressly permitted by law or with our written permission.

All trademarks, service marks, and logos used in connection with the Services are the property of their respective owners.

8. User Content

You retain ownership of any content you submit, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display your User Content solely to provide the Services.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.

9. Fees and Payment

Certain features of the Services may require payment of fees. All fees are non-refundable unless otherwise stated. You agree to pay all applicable fees as described in your subscription or service plan.

We reserve the right to change our pricing at any time. We will provide reasonable notice of any fee changes. Your continued use of paid Services after a fee change constitutes acceptance of the new fees.

If you fail to pay fees when due, we may suspend or terminate your access to the Services.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content or data provided through the Services.

The coaching insights and recommendations provided through Jett Coach are for informational purposes only and should not be considered professional business, financial, or legal advice. You are solely responsible for your business decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRIVE MASTERMIND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for all claims related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Thrive Mastermind, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us at [email protected].

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to sections on intellectual property, disclaimers, limitation of liability, and dispute resolution.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Thrive Mastermind is headquartered, without regard to conflict of law principles.

14.3 Arbitration

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. We may also notify you via email or SMS.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and close your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thrive Mastermind regarding the Services and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or network outages.
